Digital Services Terms

These Digital Services Terms (“Terms”) apply to SEO, content strategy, technical SEO, local search optimization, web design, conversion optimization, AI search visibility, analytics, consulting, and related digital services provided by Pure & Chic, LLC (“Pure & Chic,” “we,” “us,” or “our”).

These Terms apply only to digital services. Purchases of physical products are governed by the applicable product, marketplace, shipping, return, and sales policies.

ACCEPTANCE OF TERMS

By approving a proposal, authorizing payment, signing an agreement, or instructing Pure & Chic, LLC to begin work, the client agrees to these Terms and any project-specific proposal, statement of work, or invoice.

If a written project agreement conflicts with these Terms, the written project agreement controls for that project.

SERVICES AND PROJECT SCOPE

The specific services, deliverables, schedule, fees, and payment terms for each project will be described in a written proposal, statement of work, email confirmation, or invoice.

Services may include audits, recommendations, strategy, content, website updates, technical implementation, reporting, consulting, or ongoing optimization.

Work that is not included in the agreed scope may require a separate quote, revised schedule, or additional payment.

CLIENT RESPONSIBILITIES

The client agrees to:

• Provide accurate and complete information.
• Provide necessary website, analytics, hosting, platform, and account access.
• Respond to questions and approval requests within a reasonable time.
• Review deliverables and report concerns promptly.
• Ensure that materials supplied to Pure & Chic, LLC may lawfully be used.
• Maintain appropriate backups of websites, content, and business data.
• Comply with applicable laws, platform rules, advertising requirements, and industry regulations.

Delays in access, content, feedback, approvals, or other client responsibilities may extend the project timeline.

FEES AND PAYMENT

Fees, payment schedules, deposits, currencies, and due dates are stated in the applicable proposal or invoice.

Work may begin only after the required deposit or initial payment has been received. Pure & Chic, LLC may pause work when an invoice is overdue or required information has not been provided.

Unless specifically included in writing, fees do not include advertising spend, hosting, domains, premium software, third-party applications, platform charges, stock assets, taxes, or other external costs.

The client is responsible for applicable taxes, duties, bank charges, currency-conversion costs, and third-party fees unless otherwise stated in writing.

SERVICE DELIVERY

Digital services are delivered remotely and electronically. Deliverables may be provided through email, shared documents, reports, website or platform updates, video calls, or another agreed channel.

Project dates and performance timelines are reasonable estimates unless expressly guaranteed in writing. Delivery may depend on client approvals, third-party platforms, search engines, hosting providers, software vendors, or other factors outside our control.

CHANGES TO SCOPE

Requests that materially change the agreed scope, deliverables, number of pages, products, revisions, integrations, platforms, or project schedule may require a change order or new proposal.

Pure & Chic, LLC will communicate any material additional cost or schedule change before beginning out-of-scope work.

CANCELLATION AND REFUNDS

The client may request cancellation by contacting Pure & Chic, LLC in writing.

Fees for work that has already started or been completed are non-refundable. If a client cancels before all agreed services have begun, the unused portion may be reviewed for a partial refund based on the project scope, work completed, resources reserved, and non-recoverable costs.

Any approved refund will be returned to the original payment method. Processing times may vary depending on the payment provider and financial institution.

Recurring or ongoing services may be cancelled according to the notice period stated in the applicable proposal or agreement. Cancellation applies prospectively and does not eliminate payment obligations for work already performed or the current service period unless otherwise agreed in writing.

NO GUARANTEE OF RESULTS

Pure & Chic, LLC does not guarantee a specific search ranking, traffic level, number of leads, conversion rate, revenue, sales result, artificial-intelligence citation, platform approval, or other business outcome.

Results depend on many factors outside our control, including competition, market conditions, website history, client implementation, customer behavior, search-engine algorithms, platform policies, technical limitations, and third-party actions.

Any forecasts, examples, case studies, or previous results are illustrative and do not guarantee future performance.

THIRD-PARTY PLATFORMS

Digital services may involve third-party platforms, including search engines, website platforms, hosting providers, analytics services, advertising networks, social networks, artificial-intelligence systems, and software applications.

Pure & Chic, LLC does not control and is not responsible for third-party outages, policy changes, algorithm changes, suspensions, data loss, fees, security incidents, approval decisions, or service limitations.

The client remains responsible for maintaining its third-party accounts and complying with applicable platform terms.

INTELLECTUAL PROPERTY

Each party retains ownership of materials, trademarks, content, tools, templates, code, methods, processes, and intellectual property owned before the project.

After full payment, the client receives the rights to project deliverables expressly granted in the applicable proposal or agreement.

Pure & Chic, LLC retains ownership of its pre-existing methods, frameworks, templates, know-how, reusable components, research processes, and general skills, including improvements developed while providing services.

Unless the client is identified without permission, Pure & Chic, LLC may use aggregated or anonymized project information and performance results for analysis, service improvement, case studies, and marketing.

CLIENT CONTENT AND APPROVALS

The client remains responsible for the accuracy, legality, and suitability of its products, services, claims, prices, policies, trademarks, images, and other supplied content.

Client approval of content, design, or implementation confirms acceptance of that item, subject to any revision rights stated in the project agreement.

CONFIDENTIALITY

Each party agrees to use reasonable care to protect confidential non-public information received from the other party and to use it only as necessary for the project.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.

WARRANTY DISCLAIMER

Pure & Chic, LLC will perform services with reasonable professional care. Except as expressly stated in writing, services and deliverables are provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Pure & Chic, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost opportunities, or business interruption.

Our total liability arising from a claim will not exceed the amount paid by the client for the specific services giving rise to that claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

SUSPENSION OR TERMINATION

Pure & Chic, LLC may suspend or terminate services for non-payment, unlawful activity, abusive conduct, security concerns, repeated failure to provide required access or approvals, or a material breach of the applicable agreement.

Upon termination, the client remains responsible for fees and costs relating to work already completed or committed.

GOVERNING LAW

Unless a written agreement or mandatory applicable law provides otherwise, these Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

Before initiating formal proceedings, the parties agree to attempt in good faith to resolve disputes through written communication.

CHANGES TO THESE TERMS

We may update these Terms to reflect changes in our services, business practices, or legal obligations. Updated Terms will be posted on this page with a revised effective date.

Changes will not retroactively alter a signed project agreement unless both parties agree in writing.
